Terms of use governing your access to the nCapsule platform
These Terms of Use ("Terms of Use") mandate the terms on which users ("You" or "Your" or "Yourself" or "End Consumer" or "Your Company" or "Users" or "Customer") are interested in availing nCapsule Services for their Google Workspace Environment and accessing the platform owned and operated by Universal Elements.
Please read these Terms of Use carefully before using the Platform, registering, or accessing any material through the Platform. By registering, You accept these Terms of Use and agree to be legally bound by them.
For these Terms of Use, the term 'nCapsule' or 'Us' or 'We' refers to Universal Elements. The term 'You' refers to the user or visitor of the Website and/or nCapsule Application.
For the purpose of these Terms of Use, the term Machine or Device refers to a Computer or a Laptop only and does not include Mobile devices.
1 Registration
(a) You shall be permitted to access the Platform and avail nCapsule Services only upon creating an Account and obtaining registration. Your ability to continue using the Platform is subject to Your continued registration. You will be required to enter Your Company information, including name, contact details, phone, email, and physical address.
(b) As part of registration, You may be required to undertake verification. The information You provide must be complete, accurate, and up-to-date. nCapsule reserves the right to suspend or terminate Your Account if information is found untrue or incomplete.
2 nCapsule Services
The Platform provides You with the following nCapsule Services:
2.1 IP Restriction
- Supports Customer Organizations to restrict their Users from login into Google Workspace from anywhere other than the Public IP Address they configure.
- Once setup is complete, their Users will not be able to log in from any other IP address.
- Public-Facing IP information must be protected; only the System Administrator should know it.
- If the IP is exposed, request a new Public-Facing IP from your ISP immediately and update it in nCapsule.
2.2 Device / Browser Locking
- Customers can restrict users to log in only from registered organization devices.
- Users must allow
auth.ncapsule.inpush notifications during registration. - Users should not clear browser data for
auth.ncapsule.inafter registration. - Administrators should delete unused registered devices.
- nCapsule may automatically remove devices inactive for 30+ days.
- Once a device is registered, the user can only log in from that specific browser on that machine.
2.3 Multi-Factor Authentication
Two-factor authentication integrated with Google Authenticator, enabled per user by administrators.
2.4 Password Policy Control
Administrators can configure:
- Minimum number of characters (length)
- Number of capital letters
- Number of numeric characters
- Number of days before required password reset
2.5 Customized Login Page
Customer organizations can have a customized login screen with their company logo.
2.6 Corporate Announcement in Login Page
- Administrators can provide customized background images by hosting them and providing the URL in the admin console.
- Background images can be used for any corporate announcement (e.g., a festival wish).
3 nCapsule Usage Terms
(a) To provide maximum security to your organization's User account and data, You will implement multiple combinations of nCapsule features for each user.
(b) nCapsule services provide additional layers of security for accessing Google Workspace.
(c) nCapsule and Universal Elements do not have access or control over Your Users' Google Workspace accounts or data.
(d) All user credentials are encrypted and stored securely on Google Cloud Servers, kept secret to the user.
(e) Universal Elements shall not be liable for any damages arising from Your use of the nCapsule Services.
(f) Any complaints must be sent in writing within 24 hours to support@ncapsule.in.
(g) You may not expose the platform to any external user or company without prior written consent.
4 User Information
You are solely responsible for the information You provide. Compilation of User Accounts, contact numbers, and email addresses is owned by nCapsule. Certain information is case-sensitive and must be handled with prudent care.
5 Payment Terms
Payment for the nCapsule User License will be collected in advance and in full.
6 Cancellation and Refund
(a) Your organization may cancel your nCapsule service at any time during the trial period or at the end of the contractual year.
(b) Once a contract starts, it cannot be canceled mid-contract.
(c) Payments made for future-period subscriptions will be refunded in full if you decide not to proceed and inform support.
(d) For refunds, share complete payment method and customer account details with support@ncapsule.in.
7 User Account, Password, and Security
(a) To use nCapsule Services, You'll register and create a User/Sync account with a unique identity and password from Your Google Workspace Account.
(b) Customers and Users are responsible for maintaining Account confidentiality. You agree to:
- Notify support@ncapsule.in of any unauthorized use or security breach.
- Ensure Users exit their Account at the end of each session.
8 Intellectual Property Rights
(a) The nCapsule Service and Platform — text, videos, graphics, UI, sounds, artwork, algorithms, and code — are owned by Universal Elements and protected by copyright, patent, and trademark laws. You are not permitted to use Universal Elements Property without prior written consent.
(b) Trademarks, logos, and service marks on the Platform are the property of Universal Elements (or third parties for third-party marks). You may not use them without prior consent.
9 Disclaimer of Warranties & Liabilities
You expressly agree that to the maximum extent permitted by applicable law:
(a) The Platform and nCapsule Services are provided on an "as is" basis without warranty of any kind. Without limiting the foregoing, no warranty is made that:
- The Platform will meet Your requirements, be uninterrupted, timely, secure, or error-free.
- The quality of the Platform will meet Your expectations.
- Any errors or defects will be corrected.
(b) Universal Elements has no liability related to User Content under intellectual property rights, libel, privacy, publicity, obscenity, or other laws.
(c) Universal Elements will not be liable for losses incurred from unauthorized use of Your Account.
(d) Universal Elements is not responsible for delays or unavailability due to maintenance or factors beyond its control. Any download is done at Your own risk.
10 Indemnification and Limitation of Liability
(a) You agree to indemnify, defend, and hold harmless Universal Elements and its affiliates from any losses, claims, damages, costs, and expenses arising out of any breach of these Terms of Use.
(b) In no event shall the Indemnitees be liable for any special, incidental, indirect, consequential, or punitive damages.
(c) Your indemnification obligation survives termination of Your Account or use of the Platform.
(d) Subject to applicable laws, Universal Elements' aggregate liability shall not exceed INR 10 for any causes of action.
(e) The Platform and nCapsule Services are available to Users across the Globe.
11 Violation of the Terms of Use
Any violation of these Terms of Use constitutes an unlawful and unfair business practice causing irreparable harm to Universal Elements. You consent to Universal Elements obtaining injunctive or equitable relief. If legal action results from Your violation, Universal Elements will be entitled to recover reasonable attorneys' fees and costs.
12 Miscellaneous Terms
12.1 Modification: Universal Elements reserves the right to modify these terms at any time, effective on publication of an updated version.
12.2 Supplemental Terms: Additional use policies may apply and prevail over this Agreement in case of conflict.
12.3 Severability: If any provision is held illegal, invalid, or unenforceable, the rest of the Agreement remains in force.
12.4 Assignment: Customers may not assign this Agreement without prior written consent. Universal Elements may assign without consent.
12.5 Entire Agreement: This Agreement is the entire understanding between the parties and supersedes prior agreements.
12.6 Notices: Notices from nCapsule will be delivered to Customer's email. Notices to nCapsule should go to legal@nCapsule.in.
12.7 Governing Law & Arbitration: Governed by laws of India; jurisdiction of Chennai courts. Disputes resolved by sole arbitrator under the Arbitration and Conciliation Act, 1996. Seat of arbitration: Chennai, India. Proceedings in English.
By registering on the nCapsule Application or signing in to your Google Workspace account through the nCapsule service, You expressly acknowledge that You have read, understood, and considered the consequences of this Agreement, and agree to be bound by its terms.
